In 1987, I worked for a guy who had a e12 Alpina B7 so I have to vote for that. It was the baddest car I had ever seen in person.
die rottsau (sp?) is bad-ass indeed, but there would be no such tomfoolery with my W109. it would be kept mostly stock other than some 19" AMG rims and a later overdrive trans swap, and perhaps some bigger brakes to fill those AMG rims.
the E12, however, would get tweaked for sure.

Based solely on a ten second glance, the Mercedes gets my vote. Why? I don't know. Just because it does.
From everything I have heard, w109 parts prices are near the 70s Lamborghini price range. Unless you were specifically looking for one(and not a w108), id say avoiding it would be wise.
Assuming both cars are in good condition and not rusty, I think the BMW will be easier and less expensive. There's a lot you can do with factory parts from later cars to update them.
The benz is one of my favorite designs of all time; and my favorite mercedes design of all time. I am still dreaming of buying one and doing a minnesota to west coast and back road trip for my 40th or 50th birthday gift to myself.
As much as I appreciate the bmw as being my first introduction to the sound of a straight six, my vote in this case is for the benz. That design is too cool for me. Bonus points if you can swap in a 2jz (sc300) or 1uz(sc400) with a 5speed auto.
